This document constitutes a legally binding agreement governing access to and use of the BS4PYMES™ and BS4PYMES-AI™ platforms, tools, services, software, applications, interfaces, content, and related offerings (collectively, the “Services”).

IMPORTANT NOTICE REGARDING ARTIFICIAL INTELLIGENCE

BS4PYMES-AI utilizes artificial intelligence technologies, including but not limited to models and APIs provided by OpenAI, to generate content, insights, analyses, and recommendations. Artificial intelligence outputs may be probabilistic in nature and may produce inaccuracies, omissions, or unintended results.

Use of the Services is at your own risk and subject to the limitations and disclaimers set forth herein.

DEFINITIONS AND INTERPRETATION

For purposes of this Agreement, the following definitions apply:

“Account” means a registered user account enabling access to the Services.

“AI Output” means any content, response, analysis, recommendation, image, text, data, or material generated by BS4PYMES-AI.

“BS4PYMES” means the brand, platform, and services operated by BENIQUEZ SANCHEZ AND COMPANY LLC.

“BS4PYMES-AI” means the artificial intelligence-powered tools, systems, and features offered as part of the Services.

“Deep Research Tool” means the advanced AI-assisted research functionality capable of synthesizing, summarizing, and analyzing large volumes of information.

“User”, “You”, or “Your” means any individual or entity accessing or using the Services.

“Subscription Plan” means a paid plan granting access to specific features, usage limits, and service levels.

“Content” means all text, data, prompts, inputs, outputs, images, files, and materials provided to or generated through the Services.

Interpretation rules follow standard U.S. contract principles. Headings are for convenience only and do not affect interpretation.

TERMS

1. TERMS OF USE

1.1 Acceptance of the Terms

By accessing, browsing, registering for, subscribing to, or otherwise using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use, together with all incorporated policies, addenda, and supplemental terms (collectively, the “Agreement”).

If you do not agree to this Agreement, you must immediately discontinue use of the Services.

1.2 Eligibility

You represent and warrant that:

  • You are at least eighteen (18) years of age;
  • You possess the legal capacity to enter into binding contracts;
  • If acting on behalf of an organization, you have full authority to bind such organization.

Use of the Services by minors is strictly prohibited.

1.3 Scope of the Services

The Services include, without limitation:

  • AI-generated marketing, advertising, creative, strategic, and analytical outputs;
  • Deep Research tools utilizing AI-driven synthesis;
  • Human-assisted professional services and review;
  • Subscription-based access tiers;
  • Educational, advisory, and consulting content;
  • Platform analytics, dashboards, and insights.

BS4PYMES reserves the right to modify, enhance, suspend, or discontinue any aspect of the Services at any time.

1.4 No Guarantee of Results

You expressly acknowledge and agree that:

  • BS4PYMES does not guarantee any specific business, financial, marketing, or commercial outcomes;
  • AI Outputs are generated based on probabilistic models and may be incomplete, inaccurate, or outdated;
  • You are solely responsible for evaluating and validating all outputs prior to reliance or implementation.

1.5 No Professional Advice

The Services do not constitute legal, financial, tax, accounting, medical, or other regulated professional advice. You must consult qualified professionals before acting on any information generated by the Services.

1.6 Account Responsibility

You are solely responsible for:

  • Maintaining the confidentiality of your login credentials;
  • All activities occurring under your Account;
  • Ensuring compliance with this Agreement.

BS4PYMES shall not be liable for unauthorized access resulting from your failure to safeguard credentials.

1.7 Prohibited Conduct

You agree not to use the Services to:

  • Violate any applicable law or regulation;
  • Infringe intellectual property or privacy rights;
  • Generate deceptive, fraudulent, defamatory, obscene, or unlawful content;
  • Circumvent security, usage limits, or subscription restrictions;
  • Reverse engineer, scrape, or exploit the platform.

1.8 Suspension and Termination

BS4PYMES may suspend or terminate access to the Services, with or without notice, for any violation of this Agreement or for legal, security, or operational reasons.

Termination does not relieve you of payment obligations incurred prior to termination.

1.9 Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of:

  • The United States of America, and
  • The Commonwealth of Puerto Rico,

without regard to conflict-of-law principles. Exclusive jurisdiction and venue shall lie in the courts of San Juan, Puerto Rico.

3. SERVICE TERMS

These Service Terms (“Service Terms”) supplement and form an integral part of the BS4PYMES™ & BS4PYMES-AI™ Terms of Use and govern your access to and use of specific services, features, tools, and functionalities offered by BS4PYMES, including AI-powered services, Deep Research tools, and human-assisted professional services.

In the event of any conflict between these Service Terms and other provisions of this Agreement, these Service Terms shall prevail with respect to the applicable Services.

3.1 Description of Services

BS4PYMES provides a hybrid service model that includes, without limitation:

  • Artificial intelligence–generated content, insights, analyses, and recommendations;
  • AI-assisted marketing, advertising, creative, strategic, and communications outputs;
  • Deep Research tools capable of synthesizing, summarizing, and analyzing large volumes of data;
  • Human-assisted professional services, including review, refinement, and advisory input;
  • Subscription-based access to different service tiers and usage limits.

The scope, availability, and features of the Services depend on the Subscription Plan selected by the User.

3.2 Artificial Intelligence Services

3.2.1 Nature of AI Outputs

You acknowledge and agree that:

  • AI Outputs are generated using probabilistic models and machine learning systems;
  • AI Outputs may be inaccurate, incomplete, outdated, or inappropriate for certain uses;
  • AI Outputs are not guaranteed to be unique, exclusive, or free from similarities to other outputs.

BS4PYMES makes no representations or warranties regarding the accuracy, completeness, reliability, or suitability of AI Outputs.

3.2.2 User Responsibility for AI Outputs

You are solely responsible for:

  • Reviewing, validating, and verifying all AI Outputs prior to use;
  • Ensuring compliance with applicable laws, regulations, and industry standards;
  • Determining the appropriateness of AI Outputs for your specific purposes.

BS4PYMES disclaims all liability arising from reliance on AI Outputs.

3.3 Deep Research Tool

3.3.1 Scope of Deep Research

The Deep Research Tool provides AI-assisted synthesis of information from a wide range of publicly available and licensed sources. Outputs may include summaries, comparative analyses, insights, and interpretations.

3.3.2 Limitations

You expressly acknowledge that:

  • Deep Research Outputs do not constitute original reporting, legal research, or professional due diligence;
  • Outputs may contain errors, omissions, or misinterpretations;
  • Source attribution may be incomplete or unavailable.

Independent verification is required prior to reliance.

3.4 Human-Assisted Services

3.4.1 Hybrid Model

Certain Services may include human review, editing, or advisory input. Such involvement does not convert the Services into regulated professional services.

3.4.2 No Fiduciary Relationship

No fiduciary, agency, partnership, or employment relationship is created between you and BS4PYMES.

3.5 Subscription-Based Access

3.5.1 Subscription Plans

Access to the Services is provided through paid Subscription Plans, each of which defines:

  • Permitted features;
  • Usage limits;
  • Access levels;
  • Support availability.

BS4PYMES reserves the right to modify plan features and pricing upon notice.

3.5.2 Usage Limits

You agree not to exceed the usage limits associated with your Subscription Plan. Excess usage may result in throttling, suspension, or additional fees.

3.6 Payments, Billing, and Fees

  • Subscription fees are billed on a recurring basis;
  • All fees are non-refundable unless otherwise required by law;
  • Failure to pay may result in suspension or termination of Services.

You authorize BS4PYMES to charge your payment method on a recurring basis.

3.7 Modifications and Availability

BS4PYMES may modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, for operational, legal, or security reasons.

3.8 Service Availability Disclaimer

The Services are provided on an “as available” basis. BS4PYMES does not guarantee uninterrupted or error-free operation.

3.9 Third-Party Services

BS4PYMES does not currently permit user-initiated third-party integrations or connectors. Any future integrations will be subject to additional terms.

3.10 Termination of Services

BS4PYMES may terminate or suspend Services in accordance with the Terms of Use. Upon termination, all outstanding fees remain due.

4. DATA PROCESSING ADDENDUM (DPA)

This Data Processing Addendum (“DPA”) applies to the extent that BS4PYMES processes personal data on behalf of Customers in connection with the Services and where data protection laws such as the GDPR or UK GDPR apply.

This DPA forms part of the Agreement and is legally binding.

4.1 Definitions

For purposes of this DPA:

  • “Controller” means the entity that determines the purposes and means of processing personal data.
  • “Processor” means the entity that processes personal data on behalf of the Controller.
  • “Personal Data” means any information relating to an identified or identifiable natural person.

4.2 Roles of the Parties

  • The Customer acts as the Data Controller;
  • BS4PYMES acts as the Data Processor.

4.3 Scope and Purpose of Processing

BS4PYMES processes personal data solely for the purpose of:

  • Providing the Services;
  • Operating AI-powered tools;
  • Improving system performance and security;
  • Complying with legal obligations.

4.4 Instructions

BS4PYMES shall process personal data only on documented instructions from the Customer, unless required to do so by law.

4.5 Confidentiality

BS4PYMES ensures that personnel authorized to process personal data are subject to confidentiality obligations.

4.6 Security Measures

BS4PYMES implements appropriate technical and organizational measures to ensure a level of security appropriate to the risk, including:

  • Access controls;
  • Encryption where appropriate;
  • Monitoring and incident response procedures.

4.7 Sub-Processors

BS4PYMES may engage sub-processors, including infrastructure and AI service providers, subject to contractual safeguards. A list of sub-processors may be provided upon request.

4.8 Data Subject Rights Assistance

BS4PYMES shall reasonably assist the Customer in responding to data subject requests.

4.9 Personal Data Breach Notification

BS4PYMES shall notify the Customer without undue delay after becoming aware of a personal data breach, where required by law.

4.10 Data Transfers

Personal data may be transferred to countries outside the EEA or UK. Appropriate safeguards shall be implemented.

4.11 Data Return or Deletion

Upon termination of the Services, BS4PYMES shall delete or return personal data, unless retention is required by law.

4.12 Audits

The Customer may request information necessary to demonstrate compliance with this DPA, subject to reasonable limitations.

5. OUR APPROACH TO PATENTS

This section describes BS4PYMES’ approach to patents, intellectual property protection, and innovation in connection with the Services.

5.1 Commitment to Innovation

BS4PYMES continuously develops proprietary technologies, methodologies, workflows, and systems related to artificial intelligence, marketing technology, data analysis, automation, and hybrid AI–human service delivery.

Such innovations may be protected by:

  • Patents (granted or pending);
  • Copyrights;
  • Trade secrets;
  • Confidential information;
  • Other intellectual property rights.

5.2 No Patent License Granted

Except as expressly stated in this Agreement:

  • No license, right, or interest in any BS4PYMES patent is granted to you;
  • Use of the Services does not confer any ownership or implied license to patented technologies.

All patent rights are expressly reserved by BS4PYMES and its licensors.

5.3 Defensive Use of Patents

BS4PYMES may use patents defensively to protect its technology, users, and ecosystem against infringement and misuse.

5.4 Reporting Patent Concerns

If you believe any aspect of the Services infringes a patent right, you must notify BS4PYMES in writing at [email protected], providing sufficient detail to allow investigation.

6. CONNECTORS AND ACTIONS TERMS

These Connectors and Actions Terms govern the creation, availability, and use of any connectors, automated actions, integrations, or workflow tools that may be offered by BS4PYMES in connection with AI services.

6.1 Current Availability

As of the Effective Date:

  • BS4PYMES does not permit user-created or user-configured third-party connectors or integrations;
  • No external API connections initiated by users are supported.

6.2 Future Availability

If BS4PYMES introduces connectors or automated actions in the future:

  • Additional terms will apply;
  • Users must comply with all applicable third-party terms;
  • BS4PYMES may limit, suspend, or revoke access at its discretion.

6.3 Security and Compliance

Any connectors or actions introduced will be subject to security, privacy, and compliance reviews to ensure alignment with:

  • Applicable laws;
  • OpenAI API requirements;
  • Internal security standards.

7. SUBSCRIPTION PLANS TERMS

These Subscription Plans Terms govern the purchase, renewal, modification, and cancellation of BS4PYMES subscription plans.

7.1 Subscription Structure

BS4PYMES offers tiered subscription plans that may include:

  • Starter-level access;
  • Professional-level access;
  • Executive or enterprise-level access.

Each plan provides access to specific features, usage limits, and support levels as described on the BS4PYMES website.

7.2 Auto-Renewal

All subscriptions automatically renew at the end of the billing cycle unless canceled prior to renewal.

You authorize BS4PYMES to charge your payment method on a recurring basis.

7.3 Upgrades and Downgrades

  • Upgrades may take effect immediately or at the next billing cycle;
  • Downgrades may apply at the next billing cycle;
  • Usage limits and features adjust accordingly.

7.4 Cancellation

You may cancel your subscription at any time through your account dashboard.

Cancellation:

  • Prevents future billing;
  • Does not entitle you to a refund for unused time.

7.5 Pricing Changes

BS4PYMES reserves the right to modify pricing upon reasonable notice. Continued use constitutes acceptance.

7.6 Taxes

Subscription fees do not include applicable taxes unless stated otherwise. You are responsible for all applicable taxes.

8. BS4PYMES AND BS4PYMES-AI SERVICES AGREEMENT

This BS4PYMES and BS4PYMES-AI Services Agreement (“Services Agreement”) governs the provision of Services to individuals and businesses.

8.1 Scope of Agreement

This Agreement applies to all AI-powered and human-assisted services provided by BS4PYMES.

8.2 Ownership of Content

8.2.1 User Content

You retain ownership of content you submit to the Services, subject to the licenses granted herein.

8.2.2 License to BS4PYMES

You grant BS4PYMES a worldwide, non-exclusive, royalty-free license to use, process, and analyze your content for:

  • Providing the Services;
  • Improving AI systems;
  • Ensuring compliance and security.

8.2.3 AI Outputs

To the extent permitted by law, you own AI Outputs generated for you, subject to third-party rights and this Agreement.

8.3 Confidentiality

BS4PYMES will use commercially reasonable efforts to maintain confidentiality of non-public user information.

8.4 Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
BS4PYMES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

8.5 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • BS4PYMES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES;
  • TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE PRECEDING TWELVE (12) MONTHS.

8.6 Indemnification

You agree to indemnify and hold harmless BS4PYMES from claims arising from your use of the Services.

8.7 Force Majeure

BS4PYMES shall not be liable for delays caused by events beyond reasonable control.

9. UNAUTHORIZED OPENAI EQUITY TRANSACTIONS

9.1 No Equity Rights

Use of the Services does not grant you any ownership, equity, or financial interest in:

  • BS4PYMES;
  • BENIQUEZ SANCHEZ AND COMPANY LLC;
  • OpenAI or any OpenAI affiliate.

9.2 Transfer Restrictions

All OpenAI equity is subject to strict transfer restrictions. Any purported transaction involving OpenAI equity through the Services is unauthorized and void.

 

POLICIES

10. USAGE POLICIES

These Usage Policies define acceptable and prohibited uses of the BS4PYMES™ and BS4PYMES-AI™ Services. Compliance with these policies is a material condition of access to and use of the Services.

Failure to comply may result in immediate suspension or termination of access, without refund.

10.1 Purpose and Principles

The Services are designed to support lawful, ethical, responsible, and constructive use of artificial intelligence and professional tools. Users must ensure that all use of the Services aligns with:

  • Applicable laws and regulations;
  • Ethical standards;
  • Respect for human rights, privacy, and intellectual property.

10.2 Prohibited Uses

You may not use the Services to engage in, promote, facilitate, or support:

10.2.1 Illegal Activities

  • Violations of local, state, federal, or international law;
  • Fraud, money laundering, or financial crimes;
  • Circumvention of regulatory requirements.

10.2.2 Harmful or Abusive Conduct

  • Harassment, intimidation, or threats;
  • Hate speech, discrimination, or harassment based on protected characteristics;
  • Violence, self-harm, or encouragement of physical harm.

10.2.3 Deceptive Practices

  • Impersonation of individuals or organizations;
  • Misrepresentation of AI-generated content as human-generated where prohibited;
  • Creation of misleading or manipulative content.

10.2.4 Intellectual Property Infringement

  • Unauthorized reproduction of copyrighted works;
  • Trademark infringement;
  • Misappropriation of trade secrets.

10.2.5 Security and Platform Abuse

  • Reverse engineering, scraping, or probing vulnerabilities;
  • Circumventing safeguards, rate limits, or access controls;
  • Introducing malware or malicious code.

10.3 Monitoring and Enforcement

BS4PYMES reserves the right to monitor usage patterns and content to ensure compliance with these policies, subject to applicable law.

Violations may result in enforcement actions, including warnings, suspension, termination, or legal action.

11. CREATING IMAGES AND VIDEOS IN LINE WITH OUR POLICIES

This policy governs the creation of images, videos, and visual content using BS4PYMES-AI tools.

11.1 Permitted Use

You may use the Services to generate images and videos for lawful, ethical, and professional purposes, including marketing, advertising, education, and creative projects, subject to these policies.

11.2 Prohibited Content

You may not generate images or videos that include or depict:

11.2.1 Sexual and Exploitative Content

  • Sexual content involving minors;
  • Non-consensual sexual acts;
  • Exploitation or abuse.

11.2.2 Deepfakes and Deceptive Media

  • Non-consensual deepfakes;
  • Content intended to deceive the public regarding real individuals;
  • Manipulated media presented as factual evidence.

11.2.3 Violence and Extremism

  • Graphic violence;
  • Terrorist propaganda;
  • Extremist ideology or recruitment.

11.2.4 Intellectual Property Violations

  • Unauthorized use of copyrighted characters, brands, or likenesses;
  • Use of trademarks without authorization where confusion is likely.

11.3 Responsibility and Review

You are solely responsible for ensuring that generated visual content complies with applicable laws, platform policies, and third-party rights.

BS4PYMES disclaims all liability arising from misuse of generated images or videos.

12. USING OPERATOR IN LINE WITH OUR POLICIES

This policy governs the use of automated, agent-based, or operator-style functionalities offered as part of the Services.

12.1 Purpose of Operator Features

Operator tools are designed to assist users in executing workflows, research, and analysis tasks in a responsible and controlled manner.

12.2 Restrictions on Automation

You may not use Operator features to:

  • Automate spam, phishing, or deceptive outreach;
  • Conduct surveillance or profiling in violation of law;
  • Bypass safeguards or monitoring mechanisms;
  • Perform actions on third-party systems without authorization.

12.3 Accountability

You remain fully responsible for all actions performed using Operator features, including automated outputs and decisions.

12.4 Suspension of Operator Access

BS4PYMES reserves the right to restrict or disable Operator features for any user at its sole discretion, particularly where misuse or risk is identified.

 

13. ENTERPRISE PRIVACY

This Enterprise Privacy Policy applies to enterprise-level customers, business accounts, and organizational users of BS4PYMES™ and BS4PYMES-AI™ Services (“Enterprise Users”).

This policy supplements the Privacy Policy and applies where enhanced confidentiality, data handling, and governance requirements are necessary.

13.1 Scope

Enterprise Privacy applies to:

  • Business and enterprise subscription plans;
  • Organizational accounts with multiple users;
  • Deep Research usage involving business-sensitive information;
  • AI-assisted and human-assisted enterprise services.

13.2 Data Segregation and Access Controls

BS4PYMES implements enhanced safeguards for enterprise data, including:

  • Logical segregation of enterprise data from other users;
  • Role-based access controls;
  • Restricted access to enterprise content on a need-to-know basis.

Enterprise data is accessed only by authorized personnel for service delivery, support, compliance, or security purposes.

13.3 Confidentiality Obligations

BS4PYMES treats enterprise data as confidential information and applies commercially reasonable confidentiality protections consistent with industry standards.

Confidentiality obligations survive termination of Services.

13.4 Retention and Deletion

Enterprise data is retained only as long as necessary to:

  • Fulfill contractual obligations;
  • Comply with legal and regulatory requirements;
  • Resolve disputes and enforce agreements.

Upon termination, enterprise data will be deleted or anonymized unless retention is legally required.

13.5 No Secondary Use Without Authorization

BS4PYMES does not use enterprise customer data for secondary commercial purposes unrelated to service delivery, except as permitted for AI system improvement under the Privacy Policy and applicable law.

14. SHARING & PUBLICATION POLICY

This Sharing & Publication Policy governs how content, research, outputs, insights, and analyses derived from the Services may be shared or published.

14.1 User-Controlled Sharing

Users retain control over whether and how their content and AI Outputs are shared externally.

BS4PYMES does not publish customer-specific content without explicit authorization.

14.2 Aggregated and Anonymized Information

BS4PYMES may publish, share, or disclose:

  • Aggregated data;
  • Anonymized insights;
  • High-level trends, benchmarks, or research findings;

provided such information does not identify any individual or organization.

14.3 Attribution and Responsibility

When sharing AI-generated content publicly, users are responsible for:

  • Ensuring accuracy and compliance;
  • Proper attribution where required;
  • Disclosure of AI-assisted generation where applicable.

14.4 Research Access

BS4PYMES may use anonymized data internally or externally for research, development, and improvement of AI systems, subject to privacy and legal safeguards. 

15. COORDINATED VULNERABILITY DISCLOSURE POLICY
